1. Who we are

These Terms and Conditions govern your use of the Lemon Labs HVAC website and any custom software we design, build, host or maintain for you. Lemon Labs HVAC is a trading name of AIRLIVING LLC, 1309 Coffeen Avenue STE 7851, Sheridan, Wyoming 82801, United States.

Throughout these terms, "we", "us" and "our" mean AIRLIVING LLC. "You" means the business or individual engaging our services.

2. Accepting these terms

By using this website, submitting a prototype request, or subscribing to any of our plans, you accept these terms. If you do not agree with them, please do not use the site or our services.

3. Services

We design and build custom software for HVAC contractors on an AI-accelerated delivery method. Timelines such as "days, not months" describe our typical first working version and are goals rather than contractual guarantees; actual delivery depends on scope, your availability and the completeness of information you provide.

Demo applications shown on this site are simulations built to illustrate what we can produce. They contain fictional data and are not offered as production systems.

4. Free prototypes

A free prototype is provided at our discretion, without charge and without warranty. It is for evaluation only, must not be used in live operations, and remains our property unless and until a paid subscription begins.

5. Subscriptions and payment

There are no upfront development fees. Our services are billed as a recurring monthly subscription that covers design, build, hosting, support and ongoing changes at the level described in your chosen plan.

Subscriptions are billed monthly in advance and are due on receipt. Fees are exclusive of any applicable taxes. We may suspend access to your software if an invoice remains unpaid for more than fourteen (14) days after the due date.

We may revise subscription pricing with at least thirty (30) days' written notice, effective from your next billing period.

6. Scope and change requests

Each plan includes an ongoing allowance of changes and enhancements. Work that materially exceeds that allowance, or that requires third-party licences, hardware or paid integrations, may be quoted separately and requires your written approval before we begin.

7. Cancellation

You may cancel your subscription at any time with thirty (30) days' notice. Your software remains available until the end of the paid period. We do not provide refunds for partial months.

On request within thirty (30) days of cancellation, we will provide a one-off export of your business data in a standard machine-readable format.

8. Intellectual property

You own your business data, your brand assets and the content you supply. We retain ownership of our underlying frameworks, tooling, components and know-how, including anything reused across clients.

While your subscription is active and paid, you receive a non-exclusive, non-transferable licence to use the software we build for you for your own business operations.

9. Your responsibilities

You agree to provide accurate information, to keep account credentials secure, to use the software lawfully, and to ensure you have the right to any data you upload — including customer records — and that its use complies with applicable privacy law.

10. Availability and third parties

We aim for high availability but do not guarantee uninterrupted service. Our software may rely on third-party infrastructure and services, and outages, changes or discontinuations by those providers are outside our control.

11. Warranties and liability

Except as expressly stated, our services are provided "as is" without warranties of any kind, whether express or implied.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for lost profits, lost revenue or lost data. Our total aggregate liability arising out of or relating to the services is limited to the subscription fees you paid to us in the three (3) months preceding the event giving rise to the claim.

12. Confidentiality

Each party agrees to keep the other's non-public business information confidential and to use it only to deliver or receive the services.

13. Changes to these terms

We may update these terms from time to time. Material changes will be notified by email or on this page, and continued use of the services after the effective date constitutes acceptance.

14. Governing law

These terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law rules. The courts of Wyoming shall have exclusive jurisdiction over any dispute.
